These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Uptown Vans LLC (“we,” “us”, “our”, “Uptown Vans”), concerning your access to and use of the uptownvans.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Uptown Vans Service”).

You agree that by accessing, using or obtaining any content, data, materials, information, products or services through Uptown Vans Service, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Service and you must discontinue use immediately. All uses that do not comply with the Terms and Conditions are prohibited.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason.

We will alert you about any changes by updating the “Last updated” date of these Terms and Conditions, and you waive any right to receive specific notice of each such change.

It is your responsibility to periodically review these Terms and Conditions to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms and Conditions by your continued use of the Site after the date such revised Terms and Conditions are posted.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject Uptown Vans to any registration requirement within such jurisdiction or country.

Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Site is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to register for the Site.

Description of Service

The Uptown Vans Service (hereby referred to as “Service”) provides you with tools and resources to search, plan, and purchase tickets for travel services, including online travel search tools now known or hereafter developed including any software and systems developed or deployed in association with the online travel search.

The Uptown Vans Service is an online travel search and ticketing service. Uptown Vans LLC (hereby referred to as “Uptown Vans”) does not provide, own or control any of the travel services or products that are presented and are accessible through the Uptown Vans Service such as van travel, bus travel, train travel, and the like (“Travel Offerings”). The Travel Offerings are controlled, owned and provided by third parties (“Travel Suppliers”, “Operators”, or “Carriers”) either directly by the service provider or through an agent such as a broker or online travel agency. The Travel Suppliers are solely responsible for the Travel Offerings and the Travel Supplier’s terms and privacy policies cover your reservations. A reservation of a Travel Offering made through the Uptown Vans Service is a reservation that is made directly with the Travel Supplier listed on the reservation step of the Uptown Vans Service, and Uptown Vans merely facilitates the reservation by offering you an interface to make the reservation with the Travel Supplier. You must agree to the Uptown Vans terms as well as to the terms of the service provider of the actual travel services. Interacting with Travel Suppliers accessed through Uptown Vans Service is done at your own risk and Uptown Vans has no responsibility if anything goes wrong with your reservation, during or after travel. The listing of a Travel Offering or Travel Supplier on Uptown Vans Services is neither implied nor explicit a recommendation, sponsorship, control or affiliation with the Travel Suppliers or the Travel Offerings.

If any issues or disputes in relation to your reservation may occur, you agree to direct and resolve the issues or disputes directly with the Travel Supplier and not with Uptown Vans. In some instances Uptown Vans may collect payment for the reservation on behalf of the Travel Supplier. Nonetheless, your reservation is at all times directly with the Travel Supplier and all reservations are subject to the Travel Supplier's terms and conditions. Reservations and tickets are non-transferable by Uptown Vans and refunds shall only be processed by Uptown Vans on behalf of the Travel Supplier and under direct, written, authorization from the Travel Supplier in accordance to their refund policies and specifically their refund policies for reservations made with Uptown Vans.

All content on the site is subject to amendment without notice. Uptown Vans provides data, including pricing, locations and schedules, which are obtained from Travel Suppliers. All content is published in good faith but Uptown Vans does not check the accuracy of all information provided by Travel Suppliers, and is not responsible for the accuracy, timeliness or completeness of such provided data. Uptown Vans corrects errors and omissions upon learning of the same. Uptown Vans reserves the right to cancel a reservation, without liability or penalty to you, if an error or omission leads to a material and unreasonable outcome (e.g. A van trip offered at zero fare or scheduled to take 5 minutes to travel from New York to California).

Your purchase of van, bus, or train tickets is not accepted and confirmed until Uptown Vans sends an email, including ticket confirmation numbers, advising of the confirmation of the reservation and receipt of payment in full. Reservations depend on the availability of travel products and are subject to confirmation upon payment. You must ensure that the information that you provide to Uptown Vans when making a reservation is accurate. You must inform Uptown Vans of any relevant changes to your contact information and/or other relevant changes to the information that you provided to Uptown Vans at the time of the reservation.

You must confirm the Travel Supplier's ability to meet special needs requests such as wheelchair accessible vehicles directly with the Travel Supplier. You should confirm this information immediately after confirmation of a reservation by Uptown Vans.

Uptown Vans does not guarantee the prices and availability listed on Uptown Vans Services. Prices and availability vary continuously and additional fees, charges and/or taxes may be applicable. Some listings on Uptown Vans Service may be sold in another currency than the listed currency that was your default display currency or the currency that you had selected to view listings in. Currency conversions shown on Uptown Vans Service are for information purposes only, actual conversion rates may vary and your payment provider may apply other currency conversion rates and/or charge fees for payments made in other currencies.

Uptown Vans may charge a service fee for transactions conducted on our platform for the service provided under these Terms and Conditions. This service fee helps us cover the costs of our platform and allows us to invest in future improvements to better serve you. The service fee may vary and will be displayed at the reservation step. The Uptown Vans service fee is nonrefundable as it is charged for the use of our services, which is fulfilled at the time the reservation is confirmed.

The information provided on the site relating to mapping and distances is provided for informational purposes only and is not a guarantee or warranty of any kind by Uptown Vans.

User Representations

You agree to use the Uptown Vans Services for your personal, non-commercial use. You may not use the Uptown Vans Service for any false, fraudulent reservations or reservations for commercial gain (notwithstanding reservations for business travel in which the reservation is made and confirmed through Uptown Vans Service for an employee, owner, representative, or patron of a business or agency who intends to travel on a trip offered by an Uptown Vans Travel Supplier). You agree not to use the Uptown Vans Service for any purpose that is unlawful, illegal or forbidden under U.S. laws, by these Terms or by any local laws that may apply in your location.

You agree that any and all registration information you submit will be true, accurate, current, and complete, and will be updated as necessary.

Without prior written authorization from Uptown Vans, you may not:

Access the Service through automated or non-human means, whether through a bot, script, spider or otherwise, nor use automated means to send comments, messages, or compile data (e.g. “screen scraping”, “mining”, etc)
Systematically retrieve data or other content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
Make any unauthorized use of the Service, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
Circumvent, disable, or otherwise interfere with security-related features of the Service, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Service and/or the Content contained therein.
Engage in unauthorized framing of or linking to the Service.
Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords;
Make improper use of our support services or submit false reports of abuse or misconduct.
Interfere with, disrupt, or create an undue burden on the Service or the networks or services connected to the Service.
Use another person’s account without their express permission or consent
Use any information obtained from the Service in order to harass, abuse, or harm another person.
Use the Service as part of any effort to compete with us
Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Service.
Attempt to bypass any measures of the Service designed to prevent or restrict access to the Site, or any portion of the Service.
Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Service to you.
Copy or adapt the Service’s software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Service or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Site.
Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).
Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software.
Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Service.
Use the Service in a manner inconsistent with any applicable laws or regulations.
Reproduce, duplicate, copy, sell, trade, resell or exploit the Uptown Vans Service

If you fail to comply with these Terms and User Representations, Uptown Vans may, at our sole discretion, at any time and without advance notice or liability, suspend, terminate or restrict your access to all or any sections of the Uptown Vans Service.

Any use of the Uptown Vans Service by travel agents, resellers or travel searches, for any purpose other than selecting and completing a reservation through the use of the Uptown Vans Service is strictly prohibited.

Intellectual Property

Unless otherwise indicated, we, our affiliates, Travel Suppliers, vendors (“Third Parties”) and other licensors own the Uptown Vans Service along with all of the text, images, software, service marks, trademarks and other contents of the Uptown Vans Service (“Intellectual Property”). This Intellectual Property is protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions. You agree not to copy, transmit or create derivatives of any of the Intellectual Property, except for personal, non-commercial use on your computer or mobile device. Uptown Vans, the Uptown Vans logo, and Uptownvans.com, are trademarks or registered trademarks of Uptown Vans LLC. Other content, products, services, or commercial marks displayed throughout the Uptown Vans Service are the property of our affiliated Third Parties and other licensors. By accessing the Uptown Vans Service you are not granted any license or right to use any of the marks or content contained in the Uptown Vans Service.

Privacy Policy

Disclaimer of Warranties

You understand and agree that the Uptown Vans Service is provided “AS-IS” and we disclaim all warranties (express or implied) of quality, completeness, accuracy, availability, security or performance. We do not guarantee the information we display, including but not limited to the schedules, times, durations, prices, availability, quality, Travel Supplier information or any information provided by customer service. You agree that your use of the site and our services will be at your sole risk.

Limitation of Liabilities

Uptown Vans and our officers, directors, employees, representatives, affiliates, and Travel Suppliers to the extent permitted by law hereby expressly exclude any responsibility and liability for any damages to your property from accessing the Uptown Vans Service or transmitting any content of the Uptown Vans Service, or any injury, death, loss, property damage, claim, act of god, accident, delay, inconvenience, or any direct, special, exemplary, punitive, indirect, incidental or consequential damages (including without limitation lost profits or lost savings), of any kind whether based in contract, tort, strict liability or otherwise, that are in any way associated with the use of the Uptown Vans Service, any failure, inaccessibility or interruption or the performance or nonperformance by Uptown Vans or any Travel Supplier, vendor or affiliate, even if Uptown Vans has been advised of the possibility of damages to such parties or any other party. Uptown Vans does not assume liability for any acts, errors, omissions, representations, warranties, breaches, or negligence of any Travel Suppliers or for any personal injuries, death, property damage or loss, inconvenience, loss of enjoyment, mental distress or other similar matter, delayed departure, missed connection, substitution of service or accommodations, terminations of service, or changes in fares and rates and/or cancellation or double-booking of reservations by Travel Suppliers.

Under no circumstances will Uptown Vans or its agents, affiliates, vendors, Travel Suppliers, and/or distributors be liable for any of the following losses or damage (whether such losses were foreseen, foreseeable, known or otherwise): (a) loss of data; (b) loss of revenue or anticipated profits; (c) loss of business; (d) loss of opportunity; (e) loss of goodwill or injury to reputation; (f) losses suffered by third parties; or (g) any indirect, consequential, special or exemplary damages arising from the use of Uptown Vans Services regardless of the form of action.

Uptown Vans and its Travel Suppliers, shall not be liable for injury, damage, loss, accident, delay or irregularity, liability or expense to person or property due to an act of default by any Travel Supplier.

Furthermore, Uptown Vans and its agents and suppliers accept no responsibility for any sickness, pilferage, labor disputes, machinery breakdown, government restrains, acts of war and/or terrorism, weather conditions, defect in any vehicle of transportation or for any misadventure or casualty or any other causes beyond their control, nor for any additional expenses or damage due to changes in advertised schedules or services or any other cause outside of their control.

Uptown Vans content - including the information, names, images, pictures, logos, prices, dates, and availability regarding or relating to Uptown Vans, uptownvans.com and/or to a Uptown Vans-affiliated website, service provider, operator and/or distribution partner - is provided 'AS IS' and on an 'AS AVAILABLE' basis without any representations or any kind of warranty made (whether express or implied by law) to the extent permitted by law, including the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.

At Uptown Vans we check and recheck the details about all the products and services we offer to accuracy. However, Uptown Vans does not warrant the accuracy, correctness, reliability, comprehensiveness, or currency of any content contained on uptownvans.com and/or to a Uptown Vans-affiliated website.

If any of these terms are determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country in which these terms are intended to be effective, then to the extent and within the jurisdiction in which that term is illegal, invalid or unenforceable, it shall be severed and deleted from these terms and the remaining terms shall survive, remain in full force and effect and continue to be binding and enforceable. The limitations may not apply or apply partially to you as some states or countries do not allow the limitation of liability.

All complaints that are not made at the start of or during consumption of the travel inventory purchased shall be made by contacting Uptown Vans’ customer service center by email at info@Uptownvans.com

A complaint will be considered to be timely if you make the complaint when you know or should know of the matter relating to the complaint, provided however, all complaints must be submitted to Uptown Vans in writing no later than 3 days after trip was made or, if travel inventory was not consumed, reserved start date. Untimely requests for refunds or compensation will not be reviewed.

Subject to these Terms, you agree to defend, indemnify and hold Uptown Vans, the Third Parties, and each of our officers, directors, employees and agents, harmless from and against any claim, cause of action, liability, expense, loss or demand, including without limitation reasonable legal or accounting fees, arising out of, or connected in any way to your use of the Uptown Vans Service, access to the Intellectual Property, your breach of these Terms or the agreements incorporated in these Terms by reference.

Third Party Content and Services

The Uptown Vans Service offers links and content offered by the Third Parties, it does not suggest or constitute sponsorship or recommendation of the Third Parties or their services. Uptown Vans is not responsible and has no control over the accuracy, quality or comprehensiveness of the content provided by the Third Parties, as these sites are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us. Uptown Vans is not responsible for your dealings with the Third Parties and you shall do so at your own risk. You shall hold Uptown Vans harmless of any liability arising from acts, omissions, errors, representations, warranties, breaches or negligence of the Third Parties or for any personal injuries, death, property or other damages and/or expenses associated with your dealings with the Third Parties.

The Uptown Vans Service may contain links to third party websites and other content. We do not have control over the destinations of these links, we do not endorse their contents and are not responsible for their actions or quality. Each website shall be governed by their own terms and conditions of service, privacy policies and other rules or restrictions.

The Uptown Vans Service offers routed, multi-legged or travel itineraries otherwise served in combination by two or more Travel Suppliers and will require the reservation of two or more tickets. Each of the reserved tickets will be governed by the reservation terms and conditions imposed by the associated Third Party. Because prices and availability can change rapidly, please ensure that all tickets are available before you proceed with your reservation. Please make sure to complete the reservation of all tickets in your itinerary. Changes or cancellations of any one ticket will not affect the other tickets. Some Uptown Vans services may integrate Google services and by using Uptown Vans Service you agree to be bound by Google’s Terms of Service. https://policies.google.com/terms?hl=en

Site Management

We reserve the right, but not the obligation, to:

(1) monitor the Site for violations of these Terms and Conditions;

(2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms and Conditions, including without limitation, reporting such user to law enforcement authorities;

(3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your submissions or any portion thereof;

(4) in our sole discretion and without limitation, notice, or liability, to remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems;

(5) otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site.

Miscellaneous

From time to time we may modify these Terms and update the “Last Updated” date accordingly. These changes do not affect rights and obligations that arose prior to such changes. Your continued use of the Uptown Vans Service subsequent the posting of modified Terms will be subject to the Terms in effect at the time of your use. Please review these Terms periodically for modifications. If you object to any provision of these Terms or any subsequent modifications of these Terms or in the future are unsatisfied with the Uptown Vans Services in any way, your only recourse is to immediately terminate use of the Uptown Vans Services.

If we fail to act with respect to your breach or any other parties’ breach of any part of these Terms we are not waiving our right to act with respect to similar or subsequent breaches. The Terms together with any other agreements incorporated herein through reference constitute the entire agreement between you and Uptown Vans regarding your use of the Uptown Vans Service and replace any prior understanding or agreements associated with your use of the Uptown Vans Service. If a court finds any of the Terms to be unenforceable, that clause will remain in effect to the full extent permitted by law and all other Terms will remain valid and in full effect. The laws of the State of New Jersey govern these Terms. You agree that any legal action arising from your use of the Uptown Vans Service or these Terms will be filed only in the state and federal courts of Essex County, New Jersey, USA. In any action initiated by you or by us, the prevailing party shall be entitled to recover all legal expenses, including all reasonable attorney fees, incurred in connection with the action.

In submitting Feedback, you hereby waive all moral and legal rights to any such Feedback, and you hereby warrant that any such Feedback is original with you or that you have the right to submit such Feedback. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Feedback.
